ACAS Board of Directors Position Job Description

ACAS Mission Statement: Asian Community AIDS Services (ACAS) is a charitable, non-profit, community-based organization that provides HIV/AIDS education, prevention, and support services to East and Southeast Asian Canadian communities in Ontario. These programs are based on a proactive, holistic, collaborative, empowering, and non-discriminatory approach to education and support.

Purpose of the Board: To provide leadership and sound governance to the organization, represent it to the community, stakeholders, and the public, and uphold the organization's fiduciary and legal integrity in all affairs.

Responsibilities of the Board of Directors:
• Champion the missions, goals, objectives and philosophies of ACAS
• Attend meetings of the board every six weeks and board committees monthly
• Represent and support ACAS across communities, events, and fundraisers
• Oversee the financial health of the organization
• Respond to matters in a lawful and ethical manner with an anti-oppressive lens
• Respect and uphold ethics of privacy and confidentiality

Specific Duties of the Board of Directors: Strategic Planning

• Review external trends annually to ensure salience and feasibility of core initiatives
• Develop, review and evaluate ACAS's strategic and business plans at least every three years

Governance
• Ensure compliance with all relevant laws and regulations
• Assess, review, monitor, appraise, and support the Executive Director in their role
• Annually assess board capacity, skills, experience, and areas for development
• Develop and maintain partnerships with potential and current funders
• Approve major actions of the organization, such as capital expenditures, major program

changes, or service changes
• Develop and enforce policies governing the organization
• Develop plans for risk management and mitigation and execute when required
• Address issues that escalate beyond the purview of the Executive Director in accordance with

organizational policies

Financial Audit
• Annually review and approve, in good knowledge, ACAS’s audit for submission at the Annual

General Meeting
• Ensure published reports reflect the honest operating and financial conditions of the

organization
• Receive and review quarterly financial reports

Qualifications or expertise in one or more of the following areas:

❖ Board governance

❖ Finance and accounting

❖ Law and legal experience

❖ Human resources

❖ Risk management

❖ Strategic planning

❖ Policy making

❖ Healthcare and/or social work sector experience

❖ Communications and marketing

❖ Advocacy work

❖ Stakeholder and community engagement

❖ Experience with diverse populations

Commitment and Meetings:
• Minimum two-year term (2026-2028), with a maximum of three consecutive terms or six

consecutive years
• Monthly time commitment of approximately 10 hours

○ Review and/or work on meeting material for 1-2 hours per meeting ○ Board meetings for 2-3 hours every six weeks, or more often if required ○ Serve on at least one committee for 1-2 hours per meeting per month ○ Time commitments are increased for Executive Committee members ○ Represent ACAS at formal functions, including galas, fundraisers, community events,

and other organizations' events and annual general meetings

Elections Process:
• The nominations committee will review applications to determine interest.
• Applicants will be invited for an interview, and selected candidates will be given the

opportunity to observe a board meeting
• Before the next Annual General Meeting, the Board of Directors would appoint new members

to the board. At the AGM, appointed directors would formally stand for election in front of the membership
