Legal & Corporate Governance Advisor
Position type: Volunteer (Advisory and support role; does not replace external legal counsel).
Time Commitment: Approximately 5 hours per week, flexible.
Purpose of the Role: Support the organization by reviewing, structuring, and maintaining legal and governance documentation to ensure compliance with Canadian non-profit and corporate law, strengthen internal governance, and support sustainable growth.
K E Y R E S P O N S I B I L I T I E S :
Corporate & Governance Documentation
- Review and help refine bylaws, governance policies, and internal legal frameworks.
- Assist with drafting and updating Board resolutions, committee mandates, and governance policies.
- Support compliance with the Canada Not-for-profit Corporations Act (CNCA).
Legal Structure & Compliance
- Advise on best practices for nonprofit governance, fiduciary duties, and member rights.
- Assist in documenting conflict-of-interest, ethics, and decision-making processes.
- Help prepare or review documentation related to regulatory filings (e.g. Corporations Canada).
Risk & Organizational Protection
- Flag potential legal risks related to governance, operations, partnerships, or communications.
- Support the organization in documenting decisions and processes in a legally sound manner.
- Provide guidance on record-keeping and document retention practices.
Advisory Support
- Act as a legal sounding board for governance-related questions from leadership or the Board.
- Where appropriate, coordinate with external legal counsel (if engaged).
Q U A L I F I C A T I O N S & S K I L L S :
- Background or training in corporate law, company law, or nonprofit law.
- Familiarity with Canadian legal frameworks, particularly the CNCA.
- Experience with or interest in non-profit organizations, foundations, or associations is a strong asset.
- Law students (upper-year), junior lawyers, or experienced legal professionals are welcome.
- Strong drafting, analytical, and organizational skills.
- Ability to explain legal concepts in clear, practical terms.
