Board Member, Legal Services

Are you a passionate legal professional with an interest in Fire and Emergency Services? Firefighters Without Borders is looking for a savvy leader to join our volunteer Board of Directors to lead on legal affairs.

Firefighters Without Borders is a not-for profit registered Charity providing training and support to fire departments in Canada’s remote and northern communities and around the world. We are currently seeking a professional with experience in Project Management to join our volunteer Board of Directors.

Commitment:

Two-year term, with the possibility of a renewal for additional two-year terms (pending Board approval).

Willingness to devote an average of 10 hours per month above and beyond monthly Board meetings.

Willingness to serve on the Nominating and Governance Committee.

Board Member Responsibilities:

A Director is fully informed on organizational matters and participates in the Board’s deliberations and decisions in matters of policy, finance, risk, programs, and advocacy. He/she serves in a volunteer capacity without remuneration. The Director must:

▪ Have a commitment to and understanding of the purpose, policies and programs of the organization. Be an active and committed participant in the affairs of the organization.

▪ Approve, where appropriate, policy and other recommendations received from the Board and its standing committees.

▪ Attend all board meetings: review agenda and supporting materials prior to board and committee meetings.

▪ Monitor all Board policies: being informed of, and striving to meet, all legal and fiduciary responsibilities.

▪ Participate in the development of Firefighter Without Borders’ organizational plan and annual review.

▪ Approve the annual budget, audit reports and review monthly activities as presented in the monthly financial statements.

▪ Participate in one or more Board Committees.

▪ Participate in Firefighters Without Borders fundraising/special events.

Specific Responsibilities for Governance Committee:

  • Help ensure the Board’s and organization’s compliance with all applicable government legislation.
  • Ensure government filings are submitted, as per regulations.
  • Develop and recommend to the Board the organization’s approach to governance issues.
  • Create Governance policies and procedures for approval of the Board.
  • Regular review of the corporation’s bylaws to ensure relevance and compliance.
  • Reviews the composition of the Board annually to ensure the Board has the appropriate balance of expertise, skills, attributes and ability among the Board members.
  • Oversee board recruitment and nomination processes and recommend to the Board candidates for election at the annual meeting.
  • Board orientation and evaluation.
  • Policy Development.

Skills:

▪ Professional expertise as a lawyer/paralegal, preferably with experience in not-for-profit organizations.

▪ Able to work independently and as part of a team.

▪ Knowledgeable and skilled in areas of board governance and project management is considered an asset.

▪ Previous board experience is considered an asset.
