Board of Directors issues Call for Nominations: Chair of the Board of Directors

ADAPT (Halton Alcohol, Drug and Gambling Assessment, Prevention and Treatment Services) is looking for committed, enthusiastic individual to serve as Chair on its Board of Directors. Do you possess leadership skills and knowledge to share with a dynamic and diverse team of professionals to help realize the mission of ADAPT?

ADAPT is governed by a volunteer board of directors in a policy governance model. Day-to-day operations are delegated to the CEO. The Board sets direction via the mission, vision, values, strategic plan, governance policies and budget. Its key role is to direct and protect.

The Board’s Nominating Committee has issued the official Call for Nominations.

About ADAPT

ADAPT is a community-based non-profit corporation providing addiction assessment and treatment services funded by the Ministry of Health, the Ministry of Children, Community and Social Services, the Ministry of the Solicitor General, and the United Way, among others, to provide a range of services throughout the Halton Region.

ADAPT is dedicated to empowering persons with alcohol, drug, gambling, or behavioural addictions, and their families, to manage these concerns and to lead more fulfilling lives through the provision of comprehensive, evidence-based services, corresponding to their individual needs.

ADAPT Vision

ADAPT envisions an addiction prevention and treatment system which is increasingly accessible, flexible and comprehensive. We envision a system built on collaboration between health care providers, which supports coordinated and integrated care across all sectors. We envision health care that evolves through the voice of the consumer, and continuously reduces barriers, service gaps and inequities.

About the Role

Duties

The Chair of the Board plays a critical role in ensuring the effective governance of the organization, working closely with the CEO to realize ADAPT’s vision. The Chair presides at all meetings of the Board.

Time Commitment

Board meetings, approximately two hours in duration, are typically held 4 times per year starting at approximately 4pm, alternating in person and virtual formats. In addition to meeting preparation, the Board Chair engages regularly with the CEO between meetings, prepares written materials, participates in Board recruitment activities, represents the organization as required, and communicates with Directors as needed. The Board Chair is an ex officio member of the Board’s three committees. The Board Chair devotes on average 10-12 hours per month to carrying out their responsibilities.

Term

The Chair is elected to the Board for a term of three years.

Eligibility

To be eligible for the role of Chair, an individual must be at least 18 years old, work or live in Halton Region, support the organization’s Mission Statement and Values, and be available to regularly facilitate and attend Board meetings, and meet all the director requirements of the Ontario Not-for-Profit Corporations Act

Qualifications

The Chair demonstrates a deep expertise in not-for-profit governance, built through professional and/or volunteer experience and drawing on past service in Board leadership roles. Augmenting the competencies of the Board as a whole, the Chair brings a high level of integrity, insight, financial acumen, and a risk-conscious mindset to the table. A natural communicator and relationship builder, the Chair is able to draw upon their extensive network to advance the priorities of the Board. Consistent with the values of the organization, the Chair also demonstrates allyship to equity-deserving and underserved populations.

Responsibilities:

The Chair of the Board is expected to:

  • Lead the Board.
  • Serve as the supervisor of the CEO.
  • Facilitate and oversee board meetings.
  • Work with the CEO in conducting new board member orientation.
  • With the Human Resources Committee, coordinate CEO’s annual performance evaluation.
  • Work with the Human Resources Committee to recruit new board members.
  • Act as spokesperson for the organization.

As a Board, we are working to be a leader in challenging systemic bias and barriers by learning together and reflecting on our policies and practices. As we enter this recruitment cycle to find a new Chair of the Board to lead our current Board, we are looking to balance the competencies and skills needed with a diversity of experiences and perspectives. The following have been prioritized for this recruitment campaign:

  • General skills: strong communication skills, collaborative decision-making skills, effective leadership skills, good time management skills to ensure appropriate preparation for meetings and discussions.
  • Governance competencies:
  • Human resources
  • Financial acumen and general knowledge of accounting principles
  • Not-for-profit governance law
  • Previous experience as a Board Chair is helpful but not necessary.
  • Perspectives: Black, Indigenous, People of Colour, Disabled, lived or work experience in diversity, equity and inclusion, or anti-racism work.
