2680157 Ontario Inc. (Subsidiary to CMHA Ottawa)

2680157 Ontario Inc. is a property management corporation that owns and operates the building located at 311 McArthur Avenue in Ottawa. The Canadian Mental Health Association (Ottawa Branch) is the sole shareholder of the corporation and one of its primary tenants. The building serves as a hub for community-based services and tenants, including CMHA Ottawa. The Board of Directors of 2680157 Ontario Inc. is responsible for overseeing the strategic direction, financial stewardship, and operational integrity of the property.

We are currently seeking a new volunteer Director to join our Board of Directors for a three (3) year term (December 2025 – December 2028). This is an opportunity to contribute your expertise to a small but impactful governance body that ensures the building remains safe, sustainable, and well-managed for its tenants and community partners.

To strengthen our governance and reflect the needs of the building, we are especially interested in candidates with experience in facilities management, property oversight, and capital project planning.

Board of Director Responsibilities:

Serving on the Board of Directors at 2680157 Ontario Inc. is a meaningful way to support the infrastructure behind vital community services. As a Board Member, you will help guide the strategic direction of the corporation, ensure sound governance practices, and oversee the responsible use of resources.

Our Board provides strategic leadership and oversight for the building at 311 McArthur Avenue. Members help set priorities, support long-term planning, and ensure resources are used responsibly. The Board also monitors governance practices and works closely with the property management team to maintain the building’s safety, accessibility, and overall integrity.

Individual Director Responsibilities:

  • Be committed to understanding and adhering to the purpose and values of the corporation
  • Be aware of, and committed to, the strategic directions and goals of the Board
  • Work positively, cooperatively and respectfully with other Directors and management
  • Respect and abide by Board decisions
  • Serve on at least one standing committee, if required
  • Attend Board meetings regularly
  • Prepare in advance to participate effectively in meetings
  • Stay informed about matters relating to the building and its tenants
  • Participate in orientation and ongoing Board education
  • Participate in annual Board and self-evaluation processes
  • Abide by conflict-of-interest standards
  • Act honestly and in good faith in exercising powers and discharging duties
  • Ensure that the business of the corporation is kept confidential

Attributes:

  • Ability to articulate ideas and opinions clearly
  • Capacity to work productively as a member of a deliberative group
  • Ability to collaborate with others
  • Ability to respect opinions of others
  • Ability to think strategically
  • Ability to meet time and effort requirements
  • Commitment to the mission and values of 2680157 Ontario Inc.
  • Skills & Experiences Considered an Asset:
  • Facilities management and property oversight
  • Capital project planning and execution
  • Health and safety compliance
  • Risk management
  • Housing and real estate knowledge
  • Environmental sustainability practices
  • Strategic planning and governance experience

Skills & Experience Considered an Asset:

We’re looking for someone who not only understands facilities and property management but also brings a practical approach to building operations and long-term planning. Experience with infrastructure upgrades, contractor coordination, and capital projects would be especially helpful. It’s important that the new Director is comfortable navigating safety standards, insurance matters, and basic compliance issues.

Because the Board is often involved in lease negotiations and tenant relations, familiarity with commercial leasing or property oversight is a plus. We’d also value someone who can help us think strategically about how we use space, improve accessibility, and support environmentally responsible practices. Finally, we’re looking for someone who communicates clearly, works well with others, and can help guide decisions without getting involved in day-to-day operations.

Time Commitment:

  • The Board of Directors meets approximately six (6) to eight (8) times per year, typically in the early evening for one and a half (1½) hour.
  • Meetings are held over Microsoft Teams (virtually), with the option to meet in-person if necessary.
  • Board members may also be asked to participate in ad hoc meetings or committee work related to building operations or strategic planning.
