Who are We:
The Canada Africa Community Health Alliance (CACHA) is a Canadian registered charity that seeks to improve the health for rural communities through partnerships to facilitate programs and initiatives for disease prevention, treatment, care, support, and education to the most vulnerable. Based on the determinants of health model, CACHA accomplishes this in and with rural African communities in Tanzania, Bénin, Uganda, and the Democratic Republic of Congo. Largely volunteer based, CACHA conducts medical, educational, and infrastructure missions and manages donor-funded projects implemented by our local partners.
What We Need:
We are currently seeking a qualified volunteer to be part of a working board, to provide legal counsel and help make an impact on the sustainability of CACHA.
Accountability
The Board Legal Counsel is appointed in accordance with the organization’s by‑laws and serves as an Executive Officer of the Board. The Legal Counsel provides legal guidance to the Board of Directors and works closely with the Executive Director to support compliance, risk management, and sound governance practices. They help ensure the organization meets all legal and regulatory obligations as a Canadian registered charity.
Responsibility
The Legal Counsel is responsible for:
- Providing legal guidance to the Board and Executive Director on governance, compliance, and risk.
- Ensuring CRA compliance by advising on Canada Revenue Agency (CRA) regulations, charitable receipting, and annual T3010 reporting obligations.
- Reviewing by‑laws and policies and recommending updates to ensure alignment with legal requirements and best practices.
- Identifying legal risks and advising on mitigation strategies related to contracts, liability, privacy, and employment.
- Supporting contract review for agreements, partnerships, and other commitments, in collaboration with the Executive Director.
- Monitoring legislative changes that may impact the organization.
- Educating the Board on fiduciary and legal responsibilities.

Required Skills
- Licensed legal professional (member in good standing of a Canadian law society)
- Experience with nonprofit or charity law
- Knowledge of CRA charity regulations
- Strong communication and collaboration skills
Ability to explain legal concepts clearly to non‑legal audiences
