Board Secretary (volunteer) – Job Description

Position Summary:

The Board Secretary supports effective board governance by ensuring accurate recordkeeping, compliance with legal requirements, and clear communication among board members and stakeholders.

Key Responsibilities:


• Prepare and distribute board meeting agendas, minutes and materials in a timely manner
• Maintain official records, including meeting minutes, bylaws, and board policies
• Ensure compliance with legal and regulatory requirements (e.g., annual filings, record

retention)
• Support board member onboarding and documentation
• Serve as a liaison between the board, leadership, and external stakeholders as needed
• Monitor board attendance and maintain accurate contact information for directors

Qualifications:


• Strong organizational and written communication skills
• Familiarity with governance practices and non-profit operations
• Attention to detail and ability to manage confidential information
• Experience with document management and virtual collaboration tools is an asset

Time Commitment:

Estimated 4 to 6 hours/month, including meeting preparation and follow-up, plus attendance at monthly Board meetings (1.5 to 2 hours).
