BOARD MEMBER POSITION - DIRECTOR
As a Director of the Atlantic Branch of the Kidney Foundation of Canada you will have a comprehensive understanding of your statutory and fiduciary responsibilities. You will represent stakeholders, ensuring that the best interests of the Branch are paramount, and participates in the deliberations and decisions of the Branch Board of Director meetings.
ACCOUNTABILITY
A Director is accountable to the members of the Atlantic Branch Board.
GENERAL RESPONSIBILITIES
- supports the Kidney Foundation’s Mission and Atlantic Branch Strategic Plan
- becomes familiar with and monitors compliance with the governance, structure, General By-Law’s, Regulations, and Policies of The Kidney Foundation of Canada
- understands and accepts the responsibilities of serving as a Director
- acts with integrity, and in the best interests of the Atlantic Branch
- maintains Board confidentiality
- supports the decisions reached by the majority of the Board
- takes appropriate measures to identify and avoid conflict of interest
- participates fully in the deliberations and discussions of the Board
- participates in Board orientation (presented following the Annual General Meeting) and education activities as applicable.
- acquires sufficient information to enable informed decision making at Board meetings
- participates in approving reports and other recommendations received from the Board and Board Committees such as the approval and annual review of the Branch Strategic Plan, Branch Budget, and Financial Statements
- maintains an excellent attendance record at Board meeting
- assists the President as requested
QUALIFICATIONS
- must be a voting member of the Foundation in accordance with General By-Law 6.00
- understands the difference between governance and operations
- understands parliamentary procedure, as it applies to the Branch’s Board meetings
- is over the age of 18
- is a resident in the Atlantic Provinces
COMMITMENTS
Meetings
- Annual General Meeting (May)
- Board Meetings consisting of four annually including the meeting held during the AGM. Conference calls will be the norm with the exception of the AGM
- Pre-reading for Board meetings.
Other
- $10 annual membership fee;
TENURE
- Directors are elected annually by delegates at the Annual General Meeting for a two year term.
