Time Commitment: ~4–6 hours/month; 4 board meetings/year (90 min); occasional committee or fundraising activities
About the organization
TechPath Africa Foundation is a newly incorporated charitable organization in British Columbia that will support and fund TechPath Africa’s programs in Africa (tech training, mentorship, scholarships, and Canada–Africa tech pathway development). The organization is incorporated in BC and awaiting CRA charitable registration. There are currently no operating funds; this is a pro‑bono governance role to help launch and establish the charity.
Role summary
We are seeking volunteer board members to provide governance, strategic guidance, financial oversight, and fundraising support. Directors will help establish policies, ensure legal and financial compliance, and assist with outreach to potential funders and partners.
Key responsibilities
- Uphold fiduciary duties: act honestly, in good faith, and in the charity’s best interests.
- Attend regular board meetings (approx. 4/year) and additional committee meetings as required.
- Review and approve governance documents, policies, and annual budgets.
- Provide strategic guidance on programs, partnerships, and fundraising.
- Help identify and introduce potential funders, partners, and supporters.
- Disclose and manage conflicts of interest; participate in good‑governance practices and recordkeeping.
Desired skills & experience
- Canadian residency preferred (CRA expects majority Canadian control). Must meet BC director eligibility (18+, not insolvent, not legally incapacitated).
- Experience with nonprofit governance, finance/accounting, legal/compliance, fundraising, or program delivery.
- Connections to African diaspora networks, tech sector, or grantmaking communities an asset.
- Commitment to transparency, collaborative decision-making, and the Foundation’s mission.

Notes & disclosures
- This is an unpaid volunteer director role; reimbursement of reasonable expenses will be considered when funds permit.
- Successful candidates must meet legal eligibility to serve as a director in BC.
- The organization is awaiting CRA registration; directors will help guide the registration and early operational setup.
