
Board of Directors
NYSC invites interested individuals to join the Board of Directors of a dynamic organization servicing seniors in the north east quadrant of North York. To learn about our organization, we invite you to visit: www.nyseniors.org.
Time Commitment: Directors must be prepared to commit approx. 10 hours per month to the work of the Board. These hours will be spent preparing and attending meetings of the Board (6-7 times per year) and committees (dependent on need of committee) and external work on behalf of the Board. New Directors are elected for a three-year term.
Meeting Schedule: Board meetings are held, in person, on the third Tuesday of the months of October, November, January, March, April, June, and September.
Meetings are approx. 2 hours in length (6:30-8:30 pm) and Directors are expected to come prepared by reading the information package provided in advance.
Experience: The NYSC Board is seeking candidates with expertise in one or more of the following areas: leadership, governance, financial acumen, quality improvement, legal, community connections, and fundraising/philanthropic contacts.
A keen interest in the health and well-being of our senior population is mandatory.
Although Board experience is an asset, NYSC offers orientation and ongoing training to all Board members. NYSC carries Directors and Officers insurance.
Summary of Job Function:
A Director ensures proper governance of the Organization, prudent expenditure of funding monies and quality and variety of programs and services to meet the needs of the community. A Director is expected to support the achievement of the responsibilities of the Board as outlined below.
Authority/Responsibility:
The Board of Directors is the legal Authority for North York Seniors Centre.
As a member of the Board, a director acts in a position of trust for the community and is responsible for the effective governance of the organization.
Due to the confidential nature of this position, the volunteer pledges to keep all information gained through this position confidential and is required to sign a statement of confidentiality.
North York Seniors Centre staff and volunteers participate in a humane work environment where fairness, equity and non-discriminatory practices are the standard.
Term:
Directors are elected by the membership at the Annual Meeting. Directors serve a three-year term. Directors may be re-elected for two additional terms.
Qualifications/Skills:
- To have knowledge and skills in one or more areas for Board governance: policy, finance, programs, fundraising, marketing and/or personnel
Requirements:
- Committed to support the mission, vision and goals of the organization
- Is a voting member of the organization
- Willing to commit approximately 10 hours per month to Board activities including Board preparation and meeting and committee work and meetings
- Attend all Board meetings and participate actively therein, or provide advance notice of their inability to attend
- Sit on at least one Board standing committee, and attend and actively participate in the workings of the assigned committee(s)
- Attend the Annual Meeting
- Is informed of the services and governing policies provided by North York Seniors Centre and publicly support them
- Support fundraising endeavors of the organization through participation and charitable giving
- Is aware of and abstains from any conflict of interest
Major Duties:
- Governs the Organization in accordance with the By-Laws, policies, guidelines and service standards approved by the Board
- Establishes overall long and short-term goals, objectives and priorities for the Organization in meeting the needs of the community
- Approves the annual service plan and budget for the Organization
- Is accountable to the funders for the services provided and the funds expended
- Participates in seeking eligible people to be nominated to the Board
- Fosters a cooperative, constructive environment in any discussion as a Board member
- Abides by the Organization’s Covenant of Conduct
